Software Usage Agreement

§ 1 Scope of Services

The Provider provides a digital signage solution for touch screens, including a support function and a registration function for driving students.

§ 2 Support Responsibility

The responsibility and organization of support lies entirely with the Customer. Support cases can be viewed and managed via the Provider’s website.

§ 3 Usage Rights

The Customer receives a monthly limited license to use the software. The minimum contract period is 12 months. Alternatively, the Customer can purchase an annual license, which grants a 20% discount and does not require an additional minimum term.

§ 4 Contract Duration

The minimum contract period is 12 months for the monthly license. After that, the contract can be terminated monthly. The annual license runs for 12 months and can also be terminated monthly thereafter.

§ 5 Prices and Payment Terms

The monthly fee is 99 EUR (net) per touch display running the signage software. The currently active and billed number of stations/displays can be viewed on your dashboard. Payment is due 14 days after receipt of the invoice. After the 14-day payment period expires, the displays will be locked until full payment is made. A warning banner will appear on the touch displays after 7 days of non-payment.

§ 6 Customer Obligations

There are no special technical requirements for the Customer, except for keeping the stations/displays connected to a network at all times.

§ 7 Warranty and Liability

The Provider is not liable for damages. The software only transmits data from the screen to the Customer’s driving school system.

§ 8 Data Protection and Data Security

The software does not store any personal data. The data is transmitted directly to the Customer’s driving school system and then deleted from the memory.

§ 9 Contract Changes

The Provider reserves the right to expand its portfolio. New features can be booked as additional packages. A new contract document will be created for each extension.

§ 10 Jurisdiction and Applicable Law

Jurisdiction is Nuremberg. German law applies.

§ 11 Updates and Maintenance

Customers will be informed by email about new software updates. Updates must be installed by the Customer. An “Update Screen” will offer updates.

§ 12 Service Level Agreements (SLA)

There are no agreements on availability and response times.

§ 13 Training and Instruction

The software is so simple that no training is necessary.

§ 14 Usage Restrictions

There are no restrictions regarding the number of users or the geographical use. The software has a built-in licensing model.

§ 15 Compliance with Legal Requirements

The software complies with the applicable legal requirements regarding data protection, as no personal data is stored.

§ 16 Dispute Resolution

There are no special regulations for mediation or arbitration.

§ 17 Right of Withdrawal

There is no right of withdrawal, as this is a pure B2B business.

§ 18 Availability of Data

The Customer always has access to their data, as it is only transmitted and not stored.

§ 19 Customer Cooperation Obligations

There are no special cooperation obligations.

§ 20 Exclusivity and Non-Competition Clauses

There are no agreements regarding exclusivity or non-competition.
